Supplier Terms for hashrate providers

1. Participation
The MVP is intended exclusively for adult commercial providers. Providers must submit correct identity, company, tax and bank details. Publication occurs only after manual approval; there is no entitlement to approval.
2. Contract model
The provider supplies SHA-256 computing power to Varga-Tech. Varga-Tech sells the time-limited computing power to the end customer in its own name. The provider is a supplier and is not the recipient of the customer's payment, whether made by PayPal or VMESH.
3. Technical provision
The provider keeps the rig permanently connected to the assigned Stratum endpoint and uses only the individual rig token. During a rental, the system automatically routes the computing power to the customer's target pool; outside a rental it routes to the configured fallback pool.
4. Information and performance
Model, advertised hashrate, rig price, minimum rental duration and description must be accurate. The minimum rental duration may not be below the platform-wide minimum of 5 hours. As a rule, the provider must ensure at least 95% of the advertised average hashrate over the rental period. Maintenance and planned shutdowns must be taken into account in advance by pausing the rig.
5. Prices, rig review and seller fee
The provider sets a price per PH/day for each rig. The currently configured technical listing/review fee for a newly created rig is €0.00. If the amount is €0.00, creation is free. Payment of any configured review fee does not guarantee publication; manual approval is still required.
For each new successful rental, a seller fee of currently 2% is deducted from the rig price. If Seller PRO is active at reservation time, the seller fee for that new reservation is currently 1%. The resulting seller net proceeds are snapshotted with the order. Later fee changes or a later start/end of Seller PRO do not alter existing reservations retroactively.
Seller PRO is an optional time-limited service. The current price for 30 days is €4.99. Optional rig highlighting only improves visibility in the regular marketplace; it does not influence automatic MassRent/Best-Fit selection and does not guarantee a booking.
6. Customer service fee
The end customer pays a separately displayed VargaHash service fee in addition to the rig price. For a single rental it is currently 3%, minimum €0.29 per order. For MassRent it is currently 4%, minimum €0.49 once per MassRent order. This customer-side service fee does not reduce the seller net proceeds already snapshotted for the rental.
7. Settlement and payout
After a rental has been properly completed, the snapshotted seller net proceeds become payable after a security hold of 7 days. The platform provides a settlement overview. Unless a separate valid self-billing agreement has been concluded, this overview does not replace any tax invoice the provider may be required to issue to Varga-Tech. Payouts are grouped and made by SEPA after review of open complaints, chargebacks and counterclaims.
8. Taxes and reporting
The provider is responsible for business registration, taxes, invoices and other obligations. Provider and transaction data required by law may be reported to tax authorities, particularly where platform reporting obligations apply.
9. Underperformance and reversal
If underperformance is caused by the provider, rental extensions, price reductions or refunds may be granted to the customer. Corresponding amounts may be offset against supplier claims or reclaimed. Amounts already paid out may have to be repaid.
10. Security and prohibited conduct
Rig tokens must not be shared or used for unrelated purposes. Manipulation of shares, hashrate, availability or routing, resale of already rented hashrate, and attacks against the platform or customer pools are prohibited.
11. Suspension and termination
Rigs or providers may be paused or suspended for security risks, false information, repeated underperformance, complaints, legal violations or payment risks. Either side may end cooperation for future rentals at any time; existing obligations remain in force.
12. Liability
The provider is liable for damage and justified claims arising from false information, manipulated performance, legal violations or culpable non-performance. Otherwise, statutory liability rules apply.
13. Final provisions
German law applies. For merchants, Göttingen is the place of jurisdiction. Material changes to these terms will be communicated before they take effect.
